Acceptance of Terms
These Terms & Conditions govern the use of Maharaja Retail, its website, software products, cloud services, APIs, applications, hosting, maintenance, consulting, support and all professional services offered by us.
By accessing this website, requesting a quotation, purchasing any service, making payment or continuing to use our services, you agree to be legally bound by these Terms & Conditions.
If you do not agree with these Terms, please discontinue using our website and services.

Quotations & Project Scope
Every quotation submitted by Maharaja Retail is valid only for the period mentioned in the quotation.
The quotation includes only those features, modules, integrations, deliverables and services explicitly mentioned therein.
Any feature, enhancement, revision, integration, migration, redesign, consultation or functionality not specifically included shall be treated as an additional requirement and may attract separate charges.
Payments
All invoices issued by Maharaja Retail are payable on or before the due date mentioned in the invoice.
Work commencement, milestone delivery, production deployment, source code transfer, documentation or final delivery may be linked to successful receipt of agreed payments.
Advance Payment
A minimum advance payment, generally 50% of the total project value, is required before commencement of software development, website development, hosting configuration or any custom work.
Advance payments are utilised towards resource allocation, planning, project management, software licensing, infrastructure preparation and development activities.
Unless otherwise required under applicable law or expressly agreed in writing, advance payments are non-refundable once project work has commenced.
Taxes & Government Charges
All applicable taxes, GST, statutory levies, duties and government charges shall be charged separately wherever applicable.
Bank transfer charges, foreign exchange charges, payment gateway charges, intermediary banking charges and similar transaction fees shall be borne by the client, unless otherwise agreed.
Delay in Payment
Payments not received by the due date may result in delayed delivery, suspension of work, suspension of hosting, restricted technical support or postponement of deployment activities.
Maharaja Retail reserves the right to charge reasonable late payment charges, interest, recovery expenses or administrative fees where legally permissible and where previously communicated to the client.
Project Timeline & Delivery
Project timelines provided by Maharaja Retail are estimated based on the information, requirements, resources, approvals and dependencies available at the time of planning.
Timelines may be affected by:
- Delay in receiving required content or information from the client.
- Changes in requirements after project approval.
- Delayed feedback or approvals.
- Third-party service dependency.
- Hosting, domain or infrastructure issues.
- Unexpected technical challenges.
- Events beyond reasonable control.
Reasonable efforts will be made to complete projects within the estimated timeline; however, delivery dates shall not be considered guaranteed unless specifically agreed through a written contract.
Client Responsibilities
The client agrees to provide accurate, complete and timely information required for successful project execution.
The client is responsible for:
- Providing required text, images, videos, documents and business information.
- Providing approvals and feedback within reasonable timelines.
- Ensuring ownership or legal rights for all materials supplied to us.
- Maintaining confidentiality of account credentials.
- Ensuring lawful use of delivered software.
- Obtaining required licences, permissions and approvals for client-provided content.
Additional Features & Scope Changes
Requirements beyond the originally approved scope will be treated as additional work.
Additional work may include:
- New modules or features.
- Additional pages or screens.
- New third-party integrations.
- Design changes after approval.
- Migration activities.
- Additional testing requirements.
- Major architecture changes.
Additional charges, timeline changes and implementation details will be discussed and approved before commencing such work.
Source Code & Ownership
Ownership rights depend on the nature of the engagement and the terms agreed between Maharaja Retail and the client.
Custom deliverables specifically developed for a client may be licensed, assigned or transferred according to the agreed contract, quotation or payment terms.
Full ownership transfer of source code, repositories, documentation or intellectual property shall occur only when such transfer is specifically mentioned and all applicable payments have been completed.
SaaS & Software Services
For Software-as-a-Service (SaaS), subscription-based, cloud-based or managed software solutions:
- Users receive permission to access and use the service according to the selected plan.
- Software access does not automatically transfer ownership of source code or underlying technology.
- Features, limits, pricing, availability and service plans may change with reasonable notice.
- Accounts may be restricted for misuse, security threats, unlawful activities or violation of these terms.
Third-Party Services & Integrations
Projects may depend on external services, including:
- Cloud Hosting Providers
- Domain Registrars
- Payment Gateways
- Email Delivery Services
- SMS Providers
- WhatsApp APIs
- Google Services
- Microsoft Services
- Social Media Platforms
- Open Source Software
- AI Services
Third-party services operate independently and are governed by their own terms, pricing, availability and privacy policies.
Maharaja Retail shall not be responsible for changes, suspension, downtime, security issues or policy changes introduced by third-party providers.
Hosting, Server & Infrastructure
Where hosting management is included, Maharaja Retail may assist with:
- Server configuration.
- Domain and DNS setup.
- SSL installation.
- Deployment assistance.
- Performance optimisation.
- Security configuration.
Unless separately contracted, hosting management does not represent ownership or control of the underlying hosting infrastructure.
Cloud providers, data centres, networks and infrastructure providers may experience failures, maintenance, downtime or security incidents.
Backup & Data Protection
Backup services will be provided only where specifically included in the project agreement or maintenance plan.
Clients are responsible for maintaining independent copies of critical business data unless a dedicated backup service has been purchased.
While reasonable precautions are taken, no backup system can guarantee absolute protection against every possible failure.
Cancellation by Client
The client may request cancellation of a project by providing written communication to Maharaja Retail.
If cancellation occurs after project commencement, charges shall be applicable for:
- Completed development work.
- Development hours already utilised.
- Third-party services purchased.
- Licences, subscriptions or infrastructure costs.
- Resources allocated for the project.
Any remaining balance, if applicable, will be calculated after deducting completed work and committed expenses.
Cancellation by Company
Maharaja Retail reserves the right to discontinue or cancel a project in circumstances including:
- Non-payment of invoices.
- Repeated delays in receiving required information.
- Unlawful or unethical project requirements.
- Abuse or misuse of services.
- Situations beyond reasonable control.
In such situations, charges for completed work, committed expenses and delivered services shall remain payable.
Project Hold & Suspension
Projects may be temporarily paused when:
- Payments are overdue.
- Client approvals are delayed.
- Required materials are unavailable.
- Technical dependencies prevent continuation.
Resumption of paused projects may require timeline revision, resource reallocation or additional charges.
Confidentiality
Both parties agree to protect confidential information shared during the course of business.
Confidential information may include:
- Business information.
- Customer information.
- Source code.
- Technical documents.
- Credentials and infrastructure details.
- Commercial information.
Confidential information shall not be disclosed to unauthorised parties except where required by applicable law.
Open Source Software
Software projects may include open-source libraries, frameworks, components or tools.
Such components remain subject to their respective licences, copyrights and terms of use.
Maharaja Retail does not transfer ownership of third-party open-source components.
Use of Artificial Intelligence Tools
Modern software development may involve artificial intelligence tools, automation systems or developer assistance technologies.
Such tools may be used for:
- Code assistance.
- Testing support.
- Documentation.
- Research and productivity improvement.
Final implementation, testing, security review and deployment decisions remain under professional development processes.
Security & Technology Limitations
Maharaja Retail follows reasonable industry practices for secure development, deployment and maintenance.
However, no software, server, network, hosting environment or internet-based service can guarantee absolute security or uninterrupted availability.
The client acknowledges that technology services may experience failures caused by:
- Cyber attacks.
- Third-party failures.
- Hardware failures.
- Software defects.
- Internet connectivity issues.
- Force majeure events.
Limitation of Liability
To the maximum extent permitted under applicable Indian laws, Maharaja Retail shall not be liable for indirect, incidental, special, consequential or business losses arising from:
- Loss of profits.
- Loss of business opportunities.
- Data loss.
- Third-party service failures.
- Service interruptions.
The total liability, if any, shall generally be limited to the amount paid by the client for the specific service giving rise to the claim.
Force Majeure
Maharaja Retail shall not be responsible for delays or inability to perform obligations due to events beyond reasonable control, including:
- Natural disasters.
- Government restrictions.
- Internet failures.
- Cloud provider outages.
- Cyber incidents.
- War, strikes or emergencies.
Governing Law & Jurisdiction
These Terms & Conditions shall be governed and interpreted according to the laws of India.
Any disputes shall first be attempted to be resolved through mutual discussion and good-faith communication.
Subject to applicable law, courts located in Tamil Nadu, India shall have jurisdiction.
